RNC Announces Results of Annual and Special Meeting of Shareholders

TORONTO, June 11, 2020 /CNW/ – RNC Minerals (“RNC”) (TSX: RNX) is pleased to announce the voting results of its annual meeting of shareholders held today in Toronto.

Election of Directors
The nominee directors listed in RNC’s management information circular dated May 8, 2020 were elected as directors. Shareholders represented by proxy at the meeting voted as follows:

The resolution to reappoint PricewaterhouseCoopers LLP, Chartered Accountants, as auditors of the Corporation to hold office until the next annual meeting of shareholders and to authorize the directors to fix the remuneration to be paid to the auditors was approved by 99.8% of the votes cast on the resolution.

The special resolution to authorize a change in the name of the Corporation to “Karora Resources Inc.” was approved by 96.4% of the votes cast on the resolution.

The special resolution to authorize a consolidation of the common shares of the Corporation as set out in the management information circular sent to shareholders in respect of the meeting was approved by 88.2% of the votes cast on the resolution.

Cautionary Statement Regarding the Higginsville Mining Operations
A production decision at the Higginsville gold operations was made by previous operators of the mine, prior to the completion of the acquisition of the Higginsville gold operations by RNC and RNC made a decision to continue production subsequent to the acquisition.
